Terms and conditions of sale

1. Scope
These terms govern the photographic and audiovisual reportage services provided by Anaël Placidet, sole trader (SIRET 999 639 248 00015). They are intended for professional clients. Any order implies full acceptance of these terms.
2. Quotes and orders
Each service is subject to a free quote, valid for 30 days. The order becomes firm upon receipt of the quote accepted by the Client and payment of the deposit. The specific conditions set out in the quote (nature of the service, location, date, deliverables, extent of the usage rights granted) prevail over these terms in the event of a conflict.
3. Prices and deposit
Prices are expressed in euros. VAT not applicable, article 293 B of the French General Tax Code. A deposit of 20% of the total amount is required upon order, to reserve the date and cover the first costs incurred. The balance is paid according to the terms below.
4. Payment
The balance is payable within 30 days of the invoice date, by bank transfer. In accordance with articles L441-10 et seq. of the French Commercial Code, any late payment automatically incurs late-payment penalties at three times the statutory interest rate, together with a fixed recovery-cost indemnity of 40 euros, without prejudice to any other remedy.
5. Deadlines and delivery
Delivery terms and timeframes are set out in the order. They are given for guidance and do not bind the Photographer, unless expressly stated otherwise: any overrun cannot give rise to cancellation, refund or damages. Unless the order provides otherwise, images are delivered as high-definition digital files, made available via an online gallery or any medium agreed between the parties.
6. Cancellation, postponement and unforeseen events
Any change of date at the Client's initiative constitutes cancellation of the service. If the Photographer is available on the new date, a new order is proposed. The Photographer cannot be held liable if unable to carry out the service on the date ultimately chosen.
In the event of cancellation or change of date at the Client's initiative, the Photographer retains the entire deposit paid.
In the event of force majeure or illness affecting the Photographer, the Photographer will endeavour to postpone the service to a date agreed with the Client. If no postponement is possible, the deposit is returned to the Client in full, without any damages being claimable on any grounds whatsoever.
In the event of a justified impediment affecting the Client (force majeure or illness), the Client informs the Photographer as soon as possible, and no later than seven days before the service. A new date may then be agreed. If the Client is absent on the scheduled or rescheduled date without having informed the Photographer, the service is considered cancelled and gives rise to no refund.
If an incident during the service prevents the Photographer from delivering the commissioned work, the sums paid are refunded in full, without damages. A postponement may be agreed by mutual consent; in that case, the sums already paid are not refunded.
If weather conditions do not allow the service to be carried out, the Photographer cannot be held liable for its non-performance or partial performance. A later date may be agreed between the parties.
7. Copyright and usage rights
The Photographer remains the holder of all copyright in the images produced, including the inalienable moral right. The order grants a licence of usage rights whose extent is defined below.
Unless otherwise stated in the order, the Client is granted the right to use the delivered images for its own communication (website, social media, documents and materials it distributes itself), without time limit. This licence does not cover advertising uses (campaigns, media buying, out-of-home, spots), resale, or transfer to third parties: such uses are subject to a separate agreement and additional billing.
Unless otherwise agreed, the credit « © Anaël Placidet » accompanies the images when published. Raw working files (RAW) are not transferred. The Photographer reserves the right to use the images for its own promotion (portfolio, social media), unless a confidentiality clause is agreed with the Client.
8. Deliverables and retouching
The number of images delivered and retouched is set in the quote. Any retouching or additional image beyond this scope is subject to additional billing.
9. Liability
The Photographer is bound by an obligation of means. Its liability cannot exceed the amount of the service concerned and does not cover indirect damages.
10. Personal data
Data provided in connection with the order is processed in accordance with the privacy policy, accessible from the footer of the site.
11. Governing law and disputes
These terms are governed by French law. In the event of a dispute, the parties will endeavour to reach an amicable solution before any legal action, failing which the French courts alone have jurisdiction.
